These Terms of Service (“Terms”) govern your access to and use of PartnerMetrics (the “Service”), operated by Sevenhills Software LLP (“we”, “our”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
PartnerMetrics is a software-as-a-service product that provides competitive intelligence and analytics for Shopify app developers. Features include public Shopify App Store rank tracking, competitor monitoring, AI-powered review analysis, ASO scoring, and (when you connect your Shopify Partner API token) install and revenue metrics for apps you own.
We may update, modify, or discontinue features at any time. We will give reasonable notice of material changes that reduce functionality you actively use.
2. Your Account
You must be at least 18 years old to use PartnerMetrics. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@partnermetrics.io if you suspect unauthorized access.
3. Ownership & Your Data
You own your data. PartnerMetrics does not claim any ownership of the tracking configurations, Shopify Partner API credentials, or derived data you submit to or generate through the Service.
You are responsible for the lawfulness of the data you submit. You confirm you have the right to provide any Shopify Partner API tokens or third-party credentials you connect.
API Key & Credential Security
Your third-party provider credentials — including Shopify Partner API access tokens — are encrypted at rest using AES-256-GCM at the application layer and used exclusively for your authorized API calls.
4. PartnerMetrics’s Data & Intellectual Property
All software, designs, content, dashboards, and AI-generated insights produced by the Service (other than your own data) are and remain the intellectual property of Sevenhills Software LLP. You receive a non-exclusive, non-transferable, revocable license to use the Service while your subscription is active.
The public App Store data we aggregate (apps, reviews, rankings) is sourced from publicly available pages on apps.shopify.com and is provided to you for use within the Service. You may not redistribute or resell this dataset.
5. Acceptable Use
You agree NOT to:
- Use the Service to violate any law or third-party rights (including Shopify’s Partner Program Agreement)
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Bulk-scrape data from the Service, including via automated account creation
- Resell access to the Service without a written agreement
- Use the Service to send spam, phishing, or malicious content
- Use the Service to track or analyze data you have no legitimate business interest in
We may suspend or terminate accounts that violate these terms without prior notice.
6. Billing & Subscriptions
Paid plans (Starter at $14.99/month, Unlimited at $24.99/month) are billed monthly in advance via Lemon Squeezy, our payment processor and merchant of record. By subscribing, you authorize recurring charges until you cancel.
We may modify prices with at least 30 days’ written notice via email or in-app notification. Price changes take effect at the start of your next billing period. If you do not agree, you may cancel before the new price takes effect and the change will not apply to the current period.
All prices are exclusive of applicable taxes, which Lemon Squeezy calculates and remits on our behalf where required.
7. Cancellation, Refunds & Money-Back Guarantee
You may cancel your subscription at any time from the customer portal. Your paid features remain active through the end of the current billing cycle, after which your account reverts to the Free tier (you keep your account and data but lose paid features).
7-day money-back guarantee: first-time subscribers to a paid plan may request a full refund within 7 days of the initial charge by emailing billing@partnermetrics.io. Beyond the first 7 days, charges are non-refundable except where required by applicable consumer protection law (including, for Indian consumers, the Consumer Protection Act, 2019). Data retention after cancellation: your account and all associated data persist for 30 days after cancellation to allow easy reactivation. After 30 days, account data is permanently deleted. Billing records are retained for 8 years as required by Indian Companies Act, 2013 and GST regulations.
8. Service Availability & Disclaimers
We aim for high availability but do not guarantee uninterrupted service. The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement, except where such warranties cannot be excluded under applicable law.
PartnerMetrics ingests public data from third-party sources (Shopify App Store) and your own connected sources (Shopify Partner API). We do not guarantee the accuracy, completeness, or timeliness of any data, AI-generated insight, or derived metric. You are responsible for verifying critical decisions against authoritative sources before acting.
9. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the amounts you paid us during the 12 months preceding the event giving rise to the claim.
We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost installs, lost rankings, lost data, or business interruption — even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless Sevenhills Software LLP from any claims, damages, or expenses arising from (a) your misuse of the Service, (b) your violation of these Terms, or (c) your violation of any third party’s rights — including Shopify’s Partner Program Agreement.
11. Termination
You may terminate your account at any time from Settings → Danger Zone. We may terminate or suspend your account for violations of these Terms, non-payment, or extended inactivity. Termination by either party does not relieve you of accrued payment obligations.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or via an in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Madurai, Tamil Nadu, India.
Before initiating any legal action, both parties agree to attempt good-faith informal resolution by contacting legal@partnermetrics.io with a written description of the dispute. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.
